Version 1.2 — 2026-10-10 (v1.1: 2026-09-25; v1.0: 2026-08-28). Effective upon publication in the Service. Changes in 1.2: new Section 6A (Credential Store, agent credential use, and HOS Vault); Sections 11.5 and 12 expressly cover them; HOS Vault requires separate acceptance before activation.
HOS is an experimental beta AI personal-assistant web app. It can be inaccurate, change, or break, and it comes with no guarantees. AI outputs are not professional advice — verify anything important before you rely on it. You are responsible for how you use HOS, for the accounts and content you connect to it, and for keeping your own backups. Our liability is strictly limited, and you agree to indemnify us if your use of HOS causes a claim. If you do not agree with these Terms, do not use HOS. The summary in this box does not override the numbered sections below.
1.1. These Terms of Service (the "Terms") are a legally binding agreement between you ("you", "your", or the "User") and EUMENES.AI, a sole proprietorship registered in Singapore under business registration number 53520480M, with a registered address at 331 New Bridge Road, #04-09 Dorsett Residences, Singapore 088764 (the "Operator", "we", "us", or "our").
1.2. These Terms govern your access to and use of "HOS", an AI personal-assistant application provided by the Operator under the Eumenes brand and made available as a web application (progressive web app) at eumenes.ai and related subdomains (collectively, the "Service").
1.3. By creating an account, accepting an invitation to the beta, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any documents incorporated by reference, including our Privacy Policy and our Acceptable Use Policy ("AUP"). If you do not agree, you must not access or use the Service.
1.4. The Privacy Policy and the AUP are incorporated into and form part of these Terms. In the event of a conflict between these Terms and either incorporated document, these Terms prevail except with respect to matters expressly governed by the Privacy Policy (data handling) or the AUP (permitted conduct).
1.5. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. The beta is currently directed at individual consumer users.
2.1. You must be at least 16 years of age to use the Service. The Service is not directed to, and must not be used by, children under 16. By using the Service you represent and warrant that you are 16 or older and that you have the legal capacity to enter into these Terms.
2.2. You may use the Service only where permitted by, and in compliance with, all applicable laws in your jurisdiction. You must not use the Service if you are barred from doing so under any applicable law, or if you are located in, or a national or resident of, any jurisdiction subject to comprehensive sanctions or embargoes that would make your use unlawful.
2.3. Access to the Service is currently invite-only and provided at the Operator's sole discretion. We may decline, restrict, or revoke access to any person or entity at any time, for any reason or no reason, to the maximum extent permitted by applicable law.
3.1. To use the Service you must register an account using a valid email address and complete the login process (for example, an email "magic-link" or a passkey/other authenticator, as offered). You agree to provide accurate, current, and complete information and to keep it up to date.
3.2. You are responsible for all activity that occurs under your account. You must keep your login credentials, devices, magic-link emails, passkeys, and any connected-account credentials confidential and secure, and you must not share your account or allow others to access the Service through your account.
3.3. You must notify us immediately at support@eumenes.ai if you suspect any unauthorised access to or use of your account, or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your credentials or to notify us promptly.
3.4. We may, at our discretion, require additional verification or security measures, and we may suspend account functions where we reasonably believe security has been compromised.
4.1. The Service is provided as an experimental beta. It is under active development and is offered for evaluation and testing purposes. Features may be added, changed, suspended, limited, degraded, or removed at any time, with or without notice.
4.2. The Service may contain bugs, errors, and interruptions, may be unavailable, may lose or corrupt data, and may not operate as intended. We do not guarantee any level of availability, uptime, performance, accuracy, or reliability, and the Service is not intended for use in any environment requiring fail-safe performance.
4.3. You acknowledge that beta software is inherently unstable and that you use the Service at your own risk. You should not rely on the Service for any critical, time-sensitive, high-risk, or irreplaceable purpose, and you should maintain independent backups of any data you value (see Section 12).
4.4. We may impose usage limits, quotas, or rate limits (including per-user storage quotas) and may modify them at any time.
5.1. The Service uses artificial-intelligence models (including models operated by third-party providers) to generate responses, summaries, transcriptions, syntheses, and other outputs ("AI Output") based on the inputs, prompts, files, connected accounts, and other content you provide or connect ("User Content").
5.2. AI Output may be inaccurate, incomplete, outdated, biased, offensive, or otherwise inappropriate, and may not reflect real facts, real events, or real people. AI systems can "hallucinate" — that is, produce content that sounds plausible but is wrong. You must independently verify any AI Output before relying on it.
5.3. AI Output is not professional advice. It does not constitute, and must not be relied upon as, legal, medical, financial, tax, accounting, investment, engineering, safety, psychological, or other professional advice. For any matter of importance you must consult a suitably qualified professional. The Service is not a substitute for professional judgment.
5.4. You are solely responsible for any decision you make or action you take based on the Service or on AI Output, and for all consequences of doing so. You assume all risk arising from your reliance on the Service.
5.5. As between you and us, and to the extent permitted by applicable law and any applicable third-party terms, you retain such rights as you have in your User Content, and, subject to those third-party terms, you may use AI Output generated for you. You are responsible for ensuring that your use of User Content and AI Output does not infringe the rights of any third party or violate any law.
5.6. You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, display, and otherwise use User Content and AI Output solely to the extent necessary to operate, provide, secure, maintain, and improve the Service and to comply with law. This licence does not grant us any right to read your private content except as described in the Privacy Policy (zero standing access; access only on your explicit in-app support request). We do not claim ownership of your User Content.
5.7. You represent and warrant that you have all rights, consents, and permissions necessary to submit your User Content and to connect any third-party account, and that your User Content and your use of the Service comply with these Terms, the AUP, and all applicable laws.
6.1. The Service lets you connect your own third-party accounts and services — including, for example, your email via IMAP, cloud-storage providers, and other accounts — by supplying your own credentials or authorising access ("Connected Services").
6.2. Connected Services are provided by third parties and are governed by their own terms and privacy policies. We do not control, endorse, or assume any responsibility for any Connected Service, its availability, security, accuracy, or the acts or omissions of its provider.
6.3. You are solely responsible for your Connected Services, for the credentials you supply, for ensuring you are permitted to connect them, and for any consequences of connecting them (including any breach of your agreements with those providers). You may disconnect a Connected Service at any time.
6.4. We are not liable for any loss, damage, disclosure, unavailability, or corruption arising from or relating to any Connected Service, or from data exchanged with a Connected Service at your direction.
6A.1. Credential Store. The Service includes a per-account store for passwords, keys, tokens and similar secrets you save ("Credential Store"). Values are stored encrypted. You choose, per item, whether AI agents running in your sessions may use it, and you may revoke that choice at any time.
6A.2. Agent credential use. If you share a credential with agents, or allow agents to save credentials they create or receive on your behalf (for example when signing up to a service or generating an API key), you authorise those agents to use those credentials to act for you. Actions taken with a credential you shared, or that an agent saved at your request, are your actions under Section 3.2, and you remain responsible for them and for reviewing what agents save.
6A.3. External password managers. If you connect your own Bitwarden-compatible password manager (for example a Bitwarden account or a self-hosted Vaultwarden server), it is a Connected Service under Section 6, and Sections 6.2–6.4 apply to it, including to any items written to it at your direction.
6A.4. HOS Vault. We may offer an optional hosted password-vault service compatible with the official Bitwarden client applications ("HOS Vault"). HOS Vault runs unmodified open-source Vaultwarden software, licensed under the GNU Affero General Public License v3.0 (source and version linked in the Service). It is not affiliated with or endorsed by Bitwarden, Inc. "Bitwarden" is a trademark of its owner. HOS Vault is enabled only after you accept these Terms, including this Section, in the activation screen.
6A.5. Zero-knowledge: we cannot recover your vault. HOS Vault content is encrypted on your device with keys derived from your master password, which is never sent to us. If you forget your master password, or lose your two-step login method without a recovery code, neither we nor anyone else can recover your vault content. You are solely responsible for your master password, recovery code and emergency-access settings.
6A.6. Keep your own export. HOS Vault and the Credential Store are beta services and may be unavailable, interrupted, lose data or be discontinued (Sections 4 and 12). You must keep your own current encrypted export of any credential you cannot afford to lose, and you must not use them as the only copy of any credential. We take backups for our own operational purposes, but we do not promise you any restore, recovery point or recovery time.
6A.7. We may suspend or end HOS Vault or the Credential Store, generally with at least 30 days' notice to export, except where immediate action is needed for security, legal or abuse reasons.
6A.8. All limitations and exclusions in Sections 10, 11 and 12 apply in full to the Credential Store, agent credential use, external password managers and HOS Vault. None of them creates any separate or additional liability, and none is excluded from the cap in Section 11.2.
7.1. The beta may be offered free of charge or may include paid plans or features. Where fees apply, they will be presented to you before you incur them, and additional billing terms may apply and form part of these Terms.
7.2. Unless otherwise stated and to the maximum extent permitted by applicable law, fees are non-refundable. We may change fees and introduce or withdraw paid features at any time, with notice for changes affecting an active paid plan.
8.1. Your use of the Service must at all times comply with the Acceptable Use Policy, which is incorporated into these Terms. The AUP prohibits, among other things, illegal content and activity, child sexual abuse material, harassment, hateful content, spam, malware, attempts to breach the Service's security or tenant isolation, reverse engineering, intellectual-property infringement, scraping, and high-risk uses.
8.2. We may investigate suspected violations and may remove content, restrict features, or suspend or terminate access as described in the AUP and in Section 13.
9.1. The Service, including all software, code, models integrated by us, user interfaces, designs, text, graphics, logos, the "HOS" and "Eumenes" names and marks, and all related intellectual-property rights, are and remain the property of the Operator or its licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you.
9.2. You must not copy, modify, distribute, sell, lease, sublicense, create derivative works from, decompile, disassemble, or reverse engineer any part of the Service, except to the limited extent such restriction is prohibited by applicable law.
9.3. If you provide any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use and exploit that Feedback for any purpose without obligation or compensation to you.
10.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, INCLUDING ALL AI OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.
10.2. To the maximum extent permitted by applicable law, we, our affiliates, and our suppliers and licensors expressly disclaim all warranties, conditions, representations, and terms, whether express, implied, statutory, or otherwise, including any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing, usage, or trade practice.
10.3. Without limiting the foregoing, we do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) any AI Output or other results obtained will be accurate, complete, reliable, or fit for any purpose; (c) defects will be corrected; (d) the Service or its infrastructure is free of viruses or harmful components; or (e) the Service will meet your requirements or expectations.
10.4. No advice or information, whether oral or written, obtained from us or through the Service, creates any warranty not expressly stated in these Terms.
10.5. Some jurisdictions do not allow the exclusion of certain warranties or conditions. In those jurisdictions the above exclusions apply to the fullest extent permitted by law, and nothing in these Terms limits any warranty, condition, or right that cannot be excluded or limited by law (see Section 11.6).
11.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE OPERATOR, ITS OWNER, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUPPLIERS, OR LICENSORS (TOGETHER, THE "OPERATOR PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, OPPORTUNITY, OR ANTICIPATED SAVINGS, OR FOR ANY LOSS, CORRUPTION, OR INACCESSIBILITY OF DATA, OR BUSINESS INTERRUPTION, arising out of or in connection with these Terms or the Service, however caused and under any theory of liability (contract, tort including negligence, strict liability, statute, or otherwise), and whether or not the Operator Parties have been advised of the possibility of such damages, and even if a limited remedy fails of its essential purpose.
11.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE OPERATOR PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THREE (3) TIMES THE MONTHLY SUBSCRIPTION FEE YOU ACTUALLY PAID TO THE OPERATOR FOR THE SERVICE FOR THE MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WHERE YOU HAVE PAID NO FEES FOR THE SERVICE (INCLUDING ALL FREE AND BETA ACCOUNTS), THE TOTAL AGGREGATE LIABILITY OF THE OPERATOR PARTIES WILL BE ZERO. THIS SECTION 11.2 APPLIES TO ALL FEATURES OF THE SERVICE, INCLUDING THE CREDENTIAL STORE AND HOS VAULT, WHETHER OR NOT A SEPARATE FEE IS CHARGED FOR THEM.
11.3. The limitations and exclusions in this Section 11 apply to all claims in the aggregate and will not be multiplied by the number of claims or claimants. They reflect an agreed allocation of risk and are a fundamental basis of the bargain between you and us, and they apply even if any remedy fails of its essential purpose.
11.4. You acknowledge that the Service is provided at low or no cost on an experimental basis, that the fees (if any) reflect this allocation of risk, and that we would not provide the Service without these limitations.
11.5. Without limiting the above, and to the maximum extent permitted by applicable law, the Operator Parties will have no liability for: (a) any AI Output, or any decision or action taken in reliance on the Service; (b) any Connected Service or third-party service, content, or provider; (c) any loss, corruption, deletion, or inaccessibility of data, including any credential or vault item in the Credential Store or HOS Vault (see Sections 6A and 12); (d) any unauthorised access resulting from your failure to secure your credentials, master password, recovery code or devices; (e) any matter beyond our reasonable control (see Section 17); or (f) any action taken by an agent using a credential you shared with agents or that an agent saved at your request (see Section 6A.2).
11.6. Savings clause / non-excludable rights. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including (where applicable) liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under mandatory statutory rights available to consumers (for example, certain rights under United Kingdom and European Union consumer-protection law and the Singapore Consumer Protection (Fair Trading) Act and Consumer Protection (Trade Descriptions and Safety Requirements) framework). If you are a consumer, you may have statutory rights that these Terms do not affect. Where any exclusion or limitation in these Terms is held unenforceable, it will apply to the maximum extent permitted by law, and the remaining provisions will remain in full effect.
12.1. Our handling of personal data is described in the Privacy Policy. You are responsible for the User Content you provide and connect, and for ensuring you have the right to do so.
12.2. We do not guarantee that any User Content, AI Output, session, file, or other data will be preserved, retained, error-free, or recoverable. Data may be lost, corrupted, or become inaccessible due to bugs, outages, deletions, security incidents, or termination.
12.3. You are solely responsible for maintaining your own backups of any data you value. To the maximum extent permitted by applicable law, the Operator Parties are not liable for any loss, corruption, deletion, or inaccessibility of data, however caused.
12.4. Sections 12.2 and 12.3 apply to the Credential Store and HOS Vault without exception. Because HOS Vault content is end-to-end encrypted with keys only you hold, any backup we keep can only restore encrypted data that still requires your master password (Section 6A.5).
12.5. You may export and delete your data, delete individual sessions, and delete your account at any time using the in-app controls, as described in the Privacy Policy.
13.1. You may stop using the Service and delete your account at any time.
13.2. We may suspend, restrict, or terminate your access to the Service (in whole or in part), remove or disable any User Content, and/or terminate these Terms, at any time and with or without notice, if: (a) we reasonably believe you have violated these Terms, the AUP, or any applicable law; (b) required to protect the Service, other users, third parties, or us; (c) required by law or a governmental or regulatory request; (d) your account is inactive; (e) we discontinue the Service or the beta; or (f) for any other reason to the maximum extent permitted by applicable law.
13.3. We may report unlawful activity to law-enforcement or other competent authorities where we are legally required or permitted to do so, and cooperate with any lawful investigation.
13.4. Effect of termination. On termination or expiry: (a) your right to access and use the Service ends immediately; (b) we may delete your account and User Content in accordance with the Privacy Policy and our retention practices; and (c) any provision that by its nature should survive termination will survive, including Sections 5.5–5.7, 9, 10, 11, 12, 14, 15, and 16–20.
13.5. You are encouraged to export any data you wish to keep before terminating. We are not liable for data deleted following termination.
14.1. To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Operator Parties from and against any and all claims, demands, actions, investigations, liabilities, damages, losses, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your access to or use of the Service; (b) your User Content or any content you submit, connect, generate, or transmit through the Service; (c) your Connected Services and the credentials you supply; (d) your violation of these Terms, the AUP, or any applicable law or regulation; (e) your violation or infringement of any third party's rights, including intellectual-property, privacy, or publicity rights; (f) any decision or action you take in reliance on the Service or AI Output; and (g) any loss of or damage to your own or a third party's data, systems, or property resulting from your use of the Service.
14.2. In particular, and for the avoidance of doubt, if you use the Service for any unlawful purpose, suffer any loss of data, or incur any damage or liability of any kind in connection with your use of the Service, that responsibility is yours and not the Operator's, except to the extent such liability cannot lawfully be shifted to you.
14.3. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence. You must not settle any matter that imposes any obligation or admission on any Operator Party without our prior written consent.
15.1. These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of Singapore, without regard to its conflict-of-laws rules.
15.2. Subject to Section 15.3, the courts of Singapore will have exclusive jurisdiction to settle any such dispute or claim, and you and we submit to the exclusive jurisdiction of those courts.
15.3. Consumers. Nothing in this Section deprives you, where you are a consumer, of the protection afforded by mandatory provisions of the law of your country of habitual residence, including any right to bring proceedings in, or benefit from the mandatory consumer laws of, your home jurisdiction (for example, in the United Kingdom or the European Union) where applicable law so requires.
15.4. Before commencing formal proceedings, you agree to first contact us at support@eumenes.ai and attempt in good faith to resolve the dispute informally.
16.1. We may modify these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or in-app notice) and will update the "Dated" line above. Non-material changes may be made without individual notice.
16.2. Changes take effect on the date stated in the updated Terms. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may delete your account.
17.1. The Operator Parties will not be liable for any delay or failure to perform resulting from causes beyond their reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action, labour disputes, failures or interruptions of the internet, hosting, telecommunications, electricity, or third-party providers (including AI model providers and Connected Services), cyber-attacks, and outages.
18.1. Entire agreement. These Terms, together with the Privacy Policy, the AUP, and any additional terms presented for specific features or paid plans, constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous understandings.
18.2. Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it will be severed, and the remaining provisions will continue in full force and effect.
18.3. No waiver. Our failure to enforce any provision is not a waiver of our right to do so later. Any waiver must be in writing to be effective.
18.4. Assignment. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may freely assign or transfer these Terms, including in connection with a merger, acquisition, reorganisation, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
18.5. No third-party beneficiaries. Except for the Operator Parties (who may enforce Sections 10, 11, and 14), a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore or otherwise to enforce any term.
18.6. Relationship. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and us.
18.7. Notices. We may give notices to you by email to the address associated with your account, by posting in the Service, or by other reasonable means. You may give notices to us at support@eumenes.ai.
18.8. Language. These Terms are drafted in English, which is the controlling language regardless of any translation.
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect personal data, and your rights under applicable data-protection laws (including the EU/UK GDPR and the Singapore Personal Data Protection Act). Please review it carefully.
